OFFICIAL RULES


NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A purchase will not improve your chances of winning. You are not yet a winner. The Schlotzsky’s Double the Meat Eating Contest (the “Contest”) starts at 8:00 am Eastern Standard Time (“EST”) on March 1, 2019 and ends at 6:00 pm EST on March 14, 2019 (the “Promotional Period”). The Contest is governed by these Official Rules (the “Rules”), and is subject to all applicable U.S. federal, state and local laws, and provincial or territorial laws, and is void wherever prohibited by law.

  1. SPONSOR: The sponsor of the Contest is Schlotzsky's Franchisor SPV LLC ( “Sponsor”). This Contest is in no way sponsored, endorsed or administered by, or associated with, Facebook, Instagram and/or Twitter. By entering this Contest, Entrants release Sponsor, Facebook, Instagram, Twitter, and any of their related entities and officers, directors, employees and agents of each, from any and all claims, losses, liabilities, damages, or injuries arising out of or related to this Contest or the prizes awarded. Any questions, comments or complaints regarding this Contest must be directed to the Sponsor and not to Facebook, Twitter or Instagram.
  2. ELIGIBILITY: Contest open only to legal residents of the 50 United States and District of Columbia (excluding residents of Puerto Rico and U.S. territories and possession) who are 16 years of age or older or the age of majority in his/her state of residence. Employees of Sponsor, individual Schlotzsky’s restaurant employees and Schlotzsky’s franchisees and their respective immediate families or persons residing in the same household of such employees are ineligible to enter and win. “Immediate family members” shall mean parents, step-parents, children, step-children, siblings, step-siblings, or spouses, regardless of where they live. “Household members” shall mean people who share the same residence at least three months a year, whether related or not related to Sponsor, and its parent or affiliated companies, subsidiaries, advertising and promotion agencies and third party fulfillment or judging agencies are not eligible to enter or win the Contest.

    Entrants agree to be bound by these Official Rules and by the decisions of Sponsor, which are final and binding in all respects.

  3. HOW TO ENTER: During the Promotional Period, you (“Entrant”) will post a video to your Facebook, Instagram, or Twitter account (you “Submission”), showing the Entrant eating a size large Schlotzsky's Double the Meat Original sandwich, tagging @Schlotzskys and using the hashtag #DoubletheMeatContest. Your account must be “public” and/or “unprotected” in order for your Submission to be viewable by Sponsor. To participate, you must have a valid and public Facebook, Instagram, or Twitter account. Facebook, Instagram, and Twitter accounts may be created free of charge. Creation of a Facebook, Instagram, or Twitter account requires Entrants to agree to the Twitter and Instagram terms of service and privacy policy. No other method of Entry will be accepted. Entrants are solely responsible for Internet connectivity, software and/or hardware that may be required in order to create and/or submit any Entry.

    Submission Guidelines:
    • The Submission must be your own, original work;
    • The Submission must contain relevant Content and the hashtag #DoubletheMeatContest;
    • The Submission must show Entrant eating the entire size large Schlotzsky's Double the Meat Original sandwich;
    • The Submission must conform with any applicable social media platform terms;
    • Each Submission should be unique;
    • The Submission should remain up on your social media through the end of the Promotion Period; and
    • The Submission cannot have been submitted previously in a promotion of any kind.

    Content Restrictions:
    • The Submission must not include any private information of a third party such as name, address, phone number, or email address;
    • If the Submission contains the image of anyone other than the entrant, entrant must have his or her permission to use the image for purposes of this Contest. No one who is or who appears to be under the age of 18 should appear in the Submission;
    • The Submission must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement or current or former celebrity endorsers;
    • The Submission must not disparage Sponsor or any other person or party;
    • The Submission may feature brand names or trademarks owned by Sponsor, which entrant has a limited license to use to create and upload a Submission in this Contest. Submission MUST NOT reference or mention brands competitive to those of Sponsor or it will be disqualified. Submission should not feature any other brands or trademarks not owned by Sponsor;
    • The Submission must not contain material that Sponsor deems to be inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous, or libelous, including but not limited to, depictions of tobacco, drugs or alcohol;
    • The Submission must not contain material that Sponsor deems to promote bigotry, racism, hatred or harm against any group or individual or to promote discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age; and
    • The Submission must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any jurisdiction where the Submission is created.

    By socially sharing your Submission with the Contest hashtag, you agree that it conforms to the Submission Guidelines and Content Restrictions, defined above, (collectively, the "Guidelines and Restrictions") and that Sponsor, in its sole discretion, may remove your Submission and disqualify you from the Contest if it believes that your Submission fails to conform to the Guidelines and Restrictions. Sponsor is not responsible for lost, late, incomplete, invalid, un-intelligible or misdirected Submissions, which are disqualified at Sponsor’s sole discretion.

    Socially sharing a Submission and using the Contest hashtag constitutes Entrant’s consent to give Sponsor a royalty-free, irrevocable, transferable, assignable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such Submission in connection with the Contest, in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes without additional compensation. If requested, Entrant will sign any documentation that may be required for Sponsor or its designees to make use of the non-exclusive rights Entrant is granting to use the Submission or any portion thereof.

    Limit: Each Entrant may submit an unlimited number of Submissions during the Promotion Period regardless of method or combination of methods of entry. Multiple Entrants are not permitted to share the same email address or social media account. In the event of a dispute as to the owner of any Submission, the authorized account holder of the email address or social media account used to enter will be deemed to be the Entrant. The "authorized account holder" is the natural person assigned an email address or social media account by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted address or for assigning the social media account. Each Entrant may be required to show proof of being an authorized account holder.

  4. WINNER DETERMINATION: After the conclusion of the Promotion Period, a panel of qualified judges, determined by Sponsor in its sole discretion, will review and score the Submissions received during the Promotion Period, and will select the one (1) Entrant with the highest-scoring Submissions from among all eligible Submissions, based on the following criteria:
    • Speed (the Entrant must tie or beat Schlotzsky’s Chef Jason Moore’s time to eat a size large Schlotzsky’s Double the Meat Original sandwich) (34%)
    • Chef Jason ate his sandwich in 5 minutes, 35 seconds. This includes time to finish chewing the last bite.
    • Creativity and Originality of Submission (33%);
    • Eating the sandwich with flair. For example, with one hand, blindfolded or while dancing.
    • Quality of Submission (33%).
    • Submission must include a clock, timer or another way to show the speed had not been altered.

    In the event of an exact tie in the scores of 2 or more Submissions, the Entrant whose Submission received the highest score in the Creativity and Originality of Submission category, as determined by the qualified judges, will be deemed the potential winner (a “Winner”) among the tied Submissions. If they remain tied, Sponsor will compare their scores for Quality of Submission, followed by the score of Fit to the Contest Theme. If they are still tied, Sponsor may consider which was submitted first in time. Sponsor reserves the right not to choose the advertised number of winners if it determines, in its sole discretion, that it did not receive a sufficient quantity or quality of eligible Submissions. Sponsor reserves the right to disqualify any potential winner if, in its sole discretion, it finds content on his or her social media pages to be inconsistent with the Sponsor's or the brand's image (for example, if it is in violation of any of the content restrictions above).

  5. NOTIFICATION: The Winner will be notified via direct message sent to the social media account associated with the Winner’s winning post on or about March 22, 2019 that they are a Winner. Such notification will include instructions for claiming the Prize and coordinating Prize delivery with the Winner. Winner must respond to Sponsor’s email notification within twenty-four (24) hours and in the manner specified in such notification or the Prize will be forfeited. Winner must complete and return to Sponsor or its designated agent an Affidavit of Eligibility and Liability and Publicity Release (“Affidavit”) within twenty-four (24) hours of Sponsor emailing such Affidavit to the Winner or the Prize will be forfeited. At the sole discretion of Sponsor, disqualification or forfeiture may result from any of the following: (i) Entrant’s failure to respond to notification; (ii) failure of potential Winner to complete and return the Affidavit; (iii) the failure of notification due to deactivation of the Entrant’s email account prior to receipt of notification; (iv) return of notification as undeliverable; (v) potential winner’s failure to provide Sponsor with satisfactory proof of age, identity and eligibility; (vi) Entrant’s or potential winner’s failure to validly claim the Prize by the deadline specified; and (vii) any other noncompliance with these Rules. In the event the Prize is forfeited, Sponsor may, in its sole discretion, award or not award the forfeited Prize to an alternate winner.
  6. PRIZES / APPROXIMATE RETAIL VALUE (“ARV”): Sponsor will award one (1) Winner the Prize, which includes: (i) Two (2 ) years of complimentary sandwiches (1 sandwich per week for 104 weeks); (ii) one (1) champion belt; and (iii) three (3) honorable mentions on one (1) or more of Schlotzsky’s social media platforms (collectively, the “Prize”).

    The total ARV of the Prize is $1,000.

    All other expenses not specifically listed herein are solely the Winner’s responsibility. The Prize is subject to any and all applicable terms and conditions. Any depictions of the Prize are for illustrative purposes only. All federal, state and local taxes on the Prize are the sole responsibility of the Winner. No transfer, refund, substitution, or replacement of the Prize is permitted, except that Sponsor reserves the right, in its sole discretion, to substitute a Prize of equal or greater value (or cash equivalent). Any portion of the Prize not accepted or unclaimed and/or unused by the Winner will be forfeited and will not be substituted. Prize is not assignable or transferable. Winner may not substitute Prize.

  7. GENERAL PRIZE LIMITATIONS AND CONDITIONS: The Prize will be awarded in gift card form. The Prize may not be substituted for cash. All Prizes under this Contest are awarded "AS IS". Sponsor does not make or offer any warranty or guarantee, either express or implied (including, without limitation, quality, merchantability and fitness for a particular purpose) in connection with this Contest or any Prize. Prize details and availability are subject to change, in which case a Prize of equal or greater value may be substituted at Sponsor's sole discretion. Prizes consist only of the items listed herein, are non-transferable, with no cash redemption, substitution or extension except at Sponsor's sole discretion. Federal, state, or local taxes on Prizes, if any, and any other costs, fees or expenses not listed above are the sole responsibility of each Winner. Taxes on and in connection with all Prizes are the sole responsibility of each Winner; Sponsor or its designated agent may issue an IRS Tax Form 1099 to the Winners for Prizes with an ARV of $600 or more. Gift cards are subject to the limitations, terms and conditions of the issuer, including expiration date or additional service fees.
  8. PUBLICITY & MARKETING: By entering or participating in the Contest, participants expressly agree and consent to Sponsor’s use of Entrant’s name, voice, statements, image and likeness for purposes of advertising and trade, in any medium, whether now known or hereafter devised, worldwide, in perpetuity, without further compensation or notice, unless prohibited by law. Submission of contact information in connection with this Contest (whether or not required), including mailing address, phone number, and email address, during Submission constitutes permission for Sponsor to add Entrant to Sponsor’s customer database and share with contest entities for same purpose, and to contact Entrant in the future for promotional and other reasons. You may opt-out of receiving such communications as set forth in Sponsor’s Privacy Policy accessible at: http://www.focusbrands.com/privacy-policy or as provided within any such marketing materials (e.g., using the “Unsubscribe” feature provided in the footer of Sponsor’s emails). Each participant submitting a Submission represents and warrants that such Submission does not infringe any intellectual property rights of any third parties.
  9. RELEASE AND LIMITATION ON LIABILITY: Except where prohibited, by participating in the Contest, Entrant agrees to release and hold harmless Sponsor, Twitter, Inc., Instagram, LLC, and their respective related companies, parents, subsidiaries, affiliates, franchisees, and their respective agents and agencies, promotional partners, prize partners, and their respective officers, directors, employees and agents (collectively, the "Released Parties") from and against any claim or cause of action arising out of participation in the Contest or use of the prize, including, but not limited to: (a) unauthorized human intervention in the Contest; (b) technical errors related to computers, servers, providers, or telephone or network lines; (c) printing errors; (d) errors in the administration of the Contest or the processing or judging of Submissions; (e) late, lost, or undeliverable mail; or (f) injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Contest or use or misuse of any prize. Entrant further agrees that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Contest and in no event shall the Released Parties be liable for attorney’s fees. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.
  10. ADDITIONAL TERMS: Sponsor, Sponsor’s parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors shall not have any obligation or responsibility with regard to: (i) entries that contain inaccurate information or do not comply with these Rules; (ii) Submissions, Prize claims or notifications that are lost, late, incomplete, illegible, unintelligible, damaged or otherwise not received by the intended recipient, in whole or in part, due to computer, human or technical error of any kind; (iii) telephone, electronic, hardware, software, network, Internet or computer malfunctions, failures or difficulties; (iv) any inability of the Winner to accept the Prize for any reason; (v) if a Prize cannot be awarded due to travel delays or interruptions due to Acts of God, natural disasters, terrorism or weather; or (vi) any damages or losses of any kind caused by any Prize or resulting from awarding, acceptance, possession, use, misuse, loss or misdirection of any Prize or resulting from participating in this promotion or any promotion or Prize related activities. Sponsor, in its sole discretion, reserves the right to disqualify any person tampering with the entry process or the operation of this promotion or otherwise violating these Rules. If Sponsor determines, in its sole discretion, that technical difficulties or unforeseen events outside its control compromise the integrity or viability of the Contest, Sponsor reserves the right to void the Submissions at issue, modify the Contest and/or terminate the relevant portion of the Contest, including the entire Contest. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or any other Contest, or in an unsportsmanlike or disruptive manner. Any attempt by any person to undermine the legitimate operation of this Contest may be in violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. The Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
  11. DISPUTES. Except where prohibited by law, by submitting a Submission and/or accepting the Prize, Entrants and Winner agree that all issues and questions concerning the construction, validity, interpretation, and enforceability of these Rules, or the rights and obligations of Sponsor, Entrants, and Winner shall be governed by and construed in accordance with the laws of the State of Georgia without giving effect to any principles of conflicts of laws of any jurisdiction. Entrants and Winner agree that any action at law or in equity arising out of or relating to this Contest or awarding of the Prize, shall be filed only in the state or federal courts located in the State of Georgia and Entrant and Winner hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action. Except where prohibited, by participating in this Contest, Entrant and Winner agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Contest, or awarding of the Prize, shall be resolved individually, without resort to any form of class action; and (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Contest but in no event attorneys’ fees; and (c) under no circumstances will any participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. Some jurisdictions do not allow the limitations or exclusion of liability for incidental or consequential damages, so the above may not apply to you. If any provision of these Rules is held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect.
  12. ANNOUNCEMENT OF WINNER: To receive a written announcement of the Winner, send a stamped, self-addressed envelope to Schlotzsky’s Franchisor SPV LLC, Attn: Double the Meat Contest, 5620 Glenridge Drive NE, Atlanta, GA 30342. The Winner announcement shall be available for up to four (4) weeks after Winner is selected.
